Welcome to Vasthro. This document is an electronic record in terms of the relevant Information Technology laws and published in accordance with the provisions that require publishing the rules and regulations, privacy policy, and Terms of Use for access or usage of the Vasthro marketplace platform - www.vasthro.com (hereinafter referred to as "Platform").

 

The Platform is owned by Atchadhai Textiles Private Limited, having its registered office in Colombo, Sri Lanka.

Your use of the Vasthro services and tools are governed by the following terms and conditions ("Terms of Use") as applicable to Vasthro, including the applicable policies which are incorporated herein by way of reference. By mere use of the Vasthro platform, You shall be contracting with Vasthro Designs Private Limited, the owner of the Platform. These terms and conditions including the policies constitute Your binding obligations with Vasthro.

For the purpose of these Terms of Use, wherever the context so requires "You" or "User" shall mean any natural or legal person who has agreed to become a buyer on the Platform by providing data while registering on the Platform as a Registered User. The term "Vasthro," "We," "Us," "Our" shall mean Vasthro Designs Private Limited and its affiliates.

When You use any of the services provided by Us through the Platform, including but not limited to Product Reviews and Seller Reviews, You will be subject to the rules, guidelines, policies, terms, and conditions applicable to such service, and they shall be deemed to be incorporated into this Terms of Use. We reserve the right, at Our sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time without any prior written notice to You. You shall ensure to review these Terms of Use periodically for updates/changes. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the revisions. As long as You comply with these Terms of Use, We grant You a personal, non-exclusive, non-transferable, limited privilege to enter and use the Platform. By impliedly or expressly accepting these Terms of Use, You also accept and agree to be bound by Vasthro Policies, including but not limited to the Privacy Policy as amended from time to time.

1. User Account, Password, and Security

If You use the Platform, You shall be responsible for maintaining the confidentiality of your Display Name and Password and You shall be responsible for all activities that occur under your Display Name and Password. If there is reason to believe that there is a breach of security or misuse of Your account, We may suspend Your account without any liability to Vasthro.

Your mobile phone number is treated as Your primary identifier on the Platform. It is your responsibility to ensure that Your mobile phone number and your email address is up to date. You agree to notify Us promptly if your contact details change. If You have not accessed the Platform for a period of 2 (two) years, Your data (including transactional data) will be deleted from Our records.

2. Services Offered

Vasthro provides Internet-based services enabling Users to purchase original merchandise such as clothing, footwear, and accessories ("Products"). The sale/purchase of Products shall be governed by specific policies of sale (cancellation, exchange, return, etc.). Vasthro does not warrant that Product descriptions or other content on the Platform is accurate, complete, or error-free.

3. Platform for Transaction and Communication

Vasthro is only a platform that can be utilized by Users to reach a larger base to buy and sell products. All commercial/contractual terms are offered by and agreed to between Buyers and Sellers alone. Vasthro is not a party to or responsible for any transaction between Users. You release and indemnify Vasthro from any cost, damage, or liability resulting from the actions of other Users.

4. User Conduct and Rules

You agree that Your use of the Platform shall be strictly governed by principles of legality. You shall not host, upload, or transmit any information that is harmful, harassing, defamatory, obscene, or infringes upon third-party rights. Vasthro may cancel any order that is classified as a 'Bulk Order' or 'Fraud Order.' You shall not use any "deep-link," "robot," or other automatic devices to access or monitor the Platform.

5. Contents Posted on Platform

All user-generated content (text, graphics, photos, etc.) becomes the property of Vasthro, and You grant Us the worldwide, perpetual, and transferable rights to use such content for business and promotional purposes.

6. Disclaimer of Warranties and Liability

Materials and services are provided on an "as is" and "as available" basis. Vasthro does not warrant that the Platform will be constantly available or that information is complete or accurate.

7. Payment

Vasthro is not responsible for any payment issues, including lack of authorization or decline of transactions. All payments shall be made in Sri Lankan Rupees. Vasthro is not a banking or financial service provider and acts merely as a facilitator for electronic payments.

9. Indemnity

You shall indemnify and hold harmless Vasthro, its owners, and affiliates from any claim, demand, or penalty arising out of Your breach of these Terms of Use or violation of any law.

10. Trademark, Copyright and Restriction

All material on the Platform is protected by copyright and intellectual property rights. Material is solely for personal, non-commercial use. Unauthorized reproduction or distribution is strictly prohibited.

11. Limitation of Liability

In no event shall Vasthro be liable for any indirect, punitive, or consequential damages resulting from the use of the Platform. To the maximum extent permissible by law, Vasthro’s liability shall be limited to an amount equal to the value of the Products purchased by You.

12. Termination

Vasthro may suspend or terminate your use of the Platform if it believes you have violated these Terms of Use. Upon termination, Vasthro may delete your content, though transaction details may be preserved for regulatory compliance.

13. Jurisdictional Issues

Unless otherwise specified, the material on the Platform is presented solely for the purpose of sale in Sri Lanka. Vasthro makes no representation that materials are appropriate for use in other locations.

14. Governing Law

These terms shall be governed by and constructed in accordance with the laws of Sri Lanka. Disputes arising in relation hereto shall be subject to the exclusive jurisdiction of the courts in Colombo, Sri Lanka.
